Mumbai News: NCLT Approves Merger Of Hemato-Oncology Clinic And Cellcure Cancer Centre To Boost Oncology Care

Mumbai: The National Company Law Tribunal (NCLT) has approved the amalgamation scheme between Hemato-Oncology Clinic (Ahmedabad) Private Limited (transferor Company)and Cellcure Cancer Centre Private Limited (Transferee Company). This merger is expected to enhance operational integration, strengthen financial stability, and expand the transferee company’s presence in the oncology sector.

The Board of Directors of both companies approved the scheme on July 31, 2024. According to the scheme, the decision aims to consolidate cancer care services and streamline operations under a single entity.

Cellcure Cancer Centre, the provider of oncology and hematology services, currently operates cancer daycare centers under the brand name Mumbai Oncocare Centre (MOC). Through this merger, it is expected to extend its network into Gujarat by incorporating Hemato-Oncology Clinic’s (HOC) facilities in Ahmedabad.

As stated in the petition, the merger is expected to expand the transferee company’s presence beyond Maharashtra into Gujarat and other states, “It will strengthen financial stability by integrating two companies with similar business models. It will improve operational efficiency through shared infrastructure and resources. It will maximize shareholder value by enhancing economies of scale and revenue streams. It will also create a more focused approach to investment strategies and cash management.”

The scheme further mentions, “The transferee company, which already held a 22% stake in the transferor company before the merger, aims to leverage HOC’s existing network to provide comprehensive cancer care, including immunotherapy, bone marrow transplants, diagnostics, and palliative care.”

With this consolidation, Cellcure Cancer Centre is poised to reinforce its position as a key player in India’s oncology sector, ensuring better accessibility and quality of cancer treatment for patients across multiple states. “The transferee company desires to expand its network of daycare centers in Gujarat and other states of India,” the scheme states.
